PERFORCE® P4 ONE BETA EVALUATION AGREEMENT IMPORTANT – READ CAREFULLY: THIS PERFORCE® P4 ONE BETA EVALUATION AGREEMENT (THE “AGREEMENT”) IS A LEGAL AGREEMENT BETWEEN YOU AND PERFORCE SOFTWARE, INC., A DELAWARE CORPORATION (“PERFORCE”). IF YOU ARE INSTALLING THE BETA VERSION OF THE P4 ONE SOFTWARE FOR PERSONAL USE, THIS AGREEMENT APPLIES TO AND BINDS YOU PERSONALLY. IF YOU ARE INSTALLING THE BETA VERSION OF THE P4 ONE SOFTWARE AS PART OF YOUR WORK FOR AN ORGANIZATION, THIS AGREEMENT APPLIES TO AND BINDS SUCH ORGANIZATION. “LICENSEE” OR "YOU" AND “YOUR” REFER TO THE PERSON OR ENTITY THAT IS LICENSEE OF THE BETA SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING THE BETA VERSION OF THE P4 ONE SOFTWARE THAT ACCOMPANIES THIS AGREEMENT, YOU OR SUCH ORGANIZATION AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU OR SUCH ORGANIZATION DOES NOT AGREE TO BE BOUND BY THIS AGREEMENT, YOU MAY NOT USE, COPY, OR INSTALL THE BETA VERSION OF THE P4 ONE SOFTWARE. 1. LICENSE: Perforce grants Licensee a temporary, nonexclusive, non-transferable, limited license to use one copy of the not generally-available, beta version of Perforce’s P4 One software and the related documentation made available to Licensee at Perforce’s sole discretion (collectively, the “Software”), solely for testing and evaluation purposes prior to the Software, or prior to the particular version of the Software, becoming generally available, for the Term set forth herein. There will be no fees charged to Licensee for this limited license. Licensee may not use the Software other than for testing and evaluation of its functionality and operability for potential use with Perforce’s commercial products as set forth herein, and may not rent, lease, sell, sublicense, assign, or otherwise transfer the Software. Licensee may not modify, combine, copy, reverse engineer, decompile, or disassemble the Software. Licensee shall comply with all laws applicable to it. 2. CONFIDENTIALITY: The Software is proprietary to Perforce, and any information relating to the Software is confidential information of Perforce. Licensee agrees not to provide the Software or any information relating to the Software (including the results of Licensee’s evaluation or testing) to any other party without Perforce’s prior written consent. Unauthorized use or disclosure of the Software may cause irreparable harm to Perforce, and Licensee agrees that Perforce may seek injunctive relief of any threatened or actual unauthorized use or disclosure of the Software, and Licensee agrees to promptly report any unauthorized use or disclosure to Perforce. The parties agree that entering into this Agreement or the sharing and/or exchange of confidential information shall not give rise to any intention, commitment, promise, or legal obligation: (i) to buy, sell, or enter into any kind business relationship; and (ii) with respect to Perforce’s products, to deliver any material, code, or functionality. As such, any confidential information shared and/or exchanged regarding development, release, and timing of any features or functionality of Perforce products remains at Perforce’s sole discretion. The information we gather regarding Licensee or Licensee’s users in connection with the use of the Software is subject to the Perforce Privacy Policy, as it may be amended from time to time. 3. PROPRIETARY RIGHTS; FEEDBACK: Licensee acknowledges that all rights and title in and to the Software are owned exclusively by Perforce and are protected by United States copyright laws and international treaty provisions. Any reports, developments, recommendations, or modifications made by Licensee relating to the Software (the “Feedback”) are the sole property of Perforce. Feedback may also include, but is not limited to, survey responses, bug reports, user experience feedback, and, if Licensee consents, Perforce recording his/her voice and or image, from any audio or visual recordings. Licensee hereby assigns (and agrees to assign) to Perforce any interest it has or may acquire in any Feedback, including any intellectual property rights, and will cooperate to perfect or further evidence such assignments. All Feedback shall be Perforce’s sole property and confidential information. Except for the limited license as expressly provided in Section 1 of this Agreement, Licensee obtains no rights with regard to the Software. 4. USAGE DATA. The Licensee agrees with the collection of telemetric information on the use of the Software. The Software may collect, without limitation, browser and operating systems types and versions used, IP addresses, URLs visited within the Software, error messages, and related data about Software errors, installer commands, web interface clicks, mouse gestures, form submissions (but not form input data), and product page views (the “Usage Data”). In all cases the Usage Data collected shall be Perforce’s sole property and confidential information. Licensee cannot disable this functionality in beta versions of the Software. The Usage Data collected and used by Perforce is de-identified so that it does not reveal the name, role, contact details, or other real world identifiers of Customer and of Customer's users. 5. TERM; TERMINATION: 5.1. The effective date of this Agreement is the date the Software is downloaded and installed (the “Effective Date”) and will remain in force until terminated as set forth in this Section 5 (the “Term”). 5.2. Either party may terminate this Agreement, or Perforce may terminate the license for a specific beta version of the Software, without the need for cause, upon five (5) days prior written notice to the other party. Upon termination, Licensee shall immediately cease use of and return all copies of the Software without modification to Perforce. Licensee agrees that its obligations regarding Perforce proprietary rights and non-disclosure of information shall survive termination of this Agreement. Neither party shall be obligated to enter into any further agreement or license with respect to the Software. 5.3. The parties agree that the terms and conditions of the Agreement shall apply to Licensee’s limited license for the beta version of the Software made available to Licensee by Perforce; provided, however, that Licensee agrees that once the beta version of the Software is made generally available, this Agreement will automatically terminate with respect to that beta version of the Software. 6. WARRANTIES, LIABILITY: The Software is a “beta” version, and, as such, is licensed without support or maintenance. Perforce provides the Software “AS IS,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERFORCE AND ITS LICENSORS FURTHER DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE, OR ANY IMPLIED FROM THE DOCUMENTATION. LICENSEE ASSUMES ALL RISK ARISING OUT OF THE USE OR PERFORMANCE OF THE SOFTWARE. THE SOFTWARE MAY CONTAIN BUGS, AND THE SOFTWARE WILL NOT NECESSARILY OPERATE ERROR-FREE OR PER ITS DOCUMENTATION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFORCE, OR ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS, BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING CLAIMS FOR LOSS OF DATA, USE, OR REVENUES, OR ANY OTHER PECUNIARY LOSS, WHETHER ACTION IS BASED ON TORT (INCLUDING NEGLIGENCE), CONTRACT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF PERFORCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. EXPORT: The Software is subject to United States export laws and regulations. Licensee must comply with all domestic and international export laws and regulations that apply to the Software. These laws include restrictions on destinations, end users, and end use. 8. GENERAL: The laws of the state of Delaware, U.S.A., govern this Agreement. The parties shall resolve any dispute that arises from or relates to this Agreement exclusively in the federal or state courts located within the state of Delaware. If a court finds any provision of this Agreement to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and effect and such invalid or unenforceable provision shall be deleted. Licensee may not assign its rights and/or duties under this Agreement without Perforce’s prior written consent. Any assignment in violation of this will be null and void. The parties agree that there are no third party beneficiaries of this Agreement. This Agreement contains the entire agreement of the parties with respect to the subject matter and supersedes all previous communications, representations, understandings, and agreements, either oral or written, between the parties with respect to said subject matter. This Agreement may not be amended, except by a writing signed by both parties. Exceptions and Limitations. For the avoidance of doubt, where Exceptions and Limitations apply to Your use, this Public License does not apply, and You do not need to comply with its terms and conditions. 3. Term.
